CONSTITUTION OF THE NORTHERN ILLINOIS ASSOCIATION OF TEACHERS OF MATHEMATICS


ARTICLE I          NAME

This organization shall be called the Northern Illinois Association of Teachers of Mathematics, hereinafter referred to as “NIATM”.

ARTICLE II        PURPOSES

The purposes of NIATM shall be to encourage an active interest in all areas of mathematics and mathematics education, to afford a medium of interchange of views regarding the teaching of mathematics and related disciplines, and to further the study of problems relating to the teaching of mathematics and computer science.

ARTICLE III      MEMBERSHIP

Section 1.              Eligibility:  Any person subscribing to the purposes outlined in Article II herein shall be eligible for membership in NIATM.  Such membership is open to, but not limited to, current teachers and administrators, students who have not taught professionally, and retired professionals.

 Section 2.              Regular Members: Any eligible individual whose annual dues are paid shall be a Regular Member of NIATM.

 Section 3.              Voting Privileges: All Regular Members are eligible to vote in any election of NIATM.

ARTICLE IV       BOARD OF DIRECTORS

 Section 1.              Board Composition: The Board of Directors of NIATM, hereinafter referred to as the “Board,” shall consist of the Officers, the Directors, the Editor, the NCTM Representative, and the Ex-Officio Directors.

 Section 2.              Officers:  The Officers shall be President, Vice President, Past President, Secretary, and Treasurer.

 Section 3.              Directors:  Two (2) Directors 6-12 shall represent junior high and senior high schools; two (2) Directors 13+ shall represent community colleges, colleges, and universities; and two (2) Directors At Large shall represent all grade levels.

 Section 4.              Editor:  The Editor of NIATM publications shall be appointed annually by the Board.

 Section 5.              NCTM Representative: The NCTM Representative shall be appointed annually by the Board.

 Section 6.              Ex-Officio Directors: Up to three (3) Ex-Officio Directors may be appointed annually by the Board.

 Section 7.              Eligibility:  Any Regular Member of NIATM shall be eligible to be nominated for or to seek any Officer or appropriate Director position.  No one may hold more than one (1) elected position concurrently.

 ARTICLE V        AMENDMENT PROCEDURE

 This Constitution may be amended by a majority vote of the Regular Members present at an Annual Business Meeting.  Any proposed amendments must be submitted to the Board, and must be mailed to all Regular Members in a mailing announcing the Annual Business Meeting.

ARTICLE VI       DISSOLUTION CLAUSE

 If NIATM should cease to carry out its purposes as stated in Article II herein, then it may be dissolved by a majority vote of those Regular Members in attendance at an Annual Business Meeting.  In that event, the final Board shall disburse any remaining assets to an organization of its choice whose purposes best match those of NIATM which has established its tax-exempt status under Section 501 (c)(3) of the Internal Revenue Code of 1954 as now enacted or as it may hereafter be amended, and such assets and property shall be applied exclusively for such charitable, scientific, and educational programs.
